Terms of Use for Sunlit Live
1.Acceptance of Terms of Use; License
Welcome to Sunlit Live (the "Licensor"), a comprehensive technology platform (“the Platform”) designed to assist family caregivers (“Caregivers”) in managing many aspects of care for their loved ones (“Care Recipients”). The Platform facilitates (i) storing and managing Care Recipients' records, (ii) utilizing playbooks and checklists generated by the Platform, (iii) forming a care team for the Care Recipients with individuals (“Care Team Members”) invited to the Platform, (iv) coordinate activities of daily life (v) confidential communication among Care Team Members, and (vi) access to curated care providers and caregiver support resources (“the Service”). By using the Platform, you agree to these Terms of Use (“Terms”). Upon acceptance, we grant you a revocable, non-exclusive, non-transferable license to use the Platform and Service solely for managing the Care Recipient’s needs and not for any commercial use.
Anyone using the Platform will collectively be referred to as "User(s)" in this document. Users include Caregivers, Care Recipients, and Care Team Members, but are not limited to these groups.
Please review these Terms carefully before using the Platform. By checking the box indicating “I agree to the Licensor’s Terms of Use” during the registration process, you acknowledge that you have read, understood, and agree to be legally bound by these Terms.
Your license to access the Platform is contingent upon adherence to all applicable laws, regulations, and these Terms. The Licensor reserves the right to update these Terms, with changes becoming effective upon posting. You are responsible for checking for updates, and your continued use of the Platform signifies your acceptance of any changes.
2. Eligibility
The Service is only available to individuals 18 years of age or older. If you are under 18, you are not permitted to use the Platform or provide any personal information through it.
3. Permitted Use
All content available through the Platform is the exclusive property of the Licensor or its licensors. Unauthorized use of the content, including copying, distributing, or altering it, is prohibited and may violate U.S. and international laws. You may only access the Platform through a standard web browser or mobile application and agree not to use automated methods to extract data. You are also prohibited from engaging in activities that could risk disclosing another User’s identity or personal information.
4. No Medical or Professional Advice; Consult Your Doctor
The Licensor DOES NOT PROVIDE MEDICAL ADVICE, DIAGNOSIS, OR TREATMENT. IF YOU HAVE A MEDICAL EMERGENCY, CALL 911 OR CONTACT A HEALTHCARE PROFESSIONAL IMMEDIATELY. Members of the Licensor’s team are not healthcare professionals (such as doctors or nurses), and communications with them do not constitute medical, legal, or financial advice. The Platform is intended to support caregiving but does not replace consultation with healthcare professionals, attorneys, or other licensed experts. Any information provided on this Platform is for informational purposes only, and you should always consult a professional before making any healthcare or legal decisions.
Your use of the Platform does not establish a patient-caregiver or any other professional relationship. We do not endorse specific medical tests, providers, or treatment plans, and any reliance on the information provided is at your own risk.

6. Proprietary Rights
All intellectual property related to the Platform, including copyrights, trademarks, and patents, is owned by the Licensor. Unauthorized use or reproduction of any content is strictly prohibited.
7. Indemnification
You agree to indemnify and hold the Licensor, its employees, directors, agents, and affiliates harmless from any claims or liabilities arising from your use of the Platform or your violation of these Terms.
8. User-Generated Content
Activation: You may create individual caregiving accounts and spaces within the Platform for yourself or on behalf of Care Recipients after obtaining necessary explicit consent, or you must be authorized to act on behalf of the Care Recipient.
De-activation: The Licensor reserves the right to remove or deactivate user accounts for violations of these Terms or inactivity. Additionally, you agree not to share sensitive personal information unless you have obtained the necessary consent from the relevant parties.
Prohibited Actions: Engaging in the following actions is strictly prohibited and constitutes a material breach of these Terms ("Prohibited Actions"). This list is not exhaustive, and the Licensor reserves the right to determine, at its sole discretion, any other conduct it deems inappropriate for the use of the Platform. You agree that you will not:
Share or publish any data or information outside of the approved recipient or pose a risk to their privacy or security;
Upload or download files containing software or material protected by intellectual property laws unless you own or control the rights to such material or have received all necessary permissions;
Upload files that contain viruses, malware, spyware, corrupted files, or any other harmful software that could damage or disrupt another person’s computer or system;
Attempt to bypass, disable, or interfere with any security measures in place on the Platform;
Use the Platform for any purpose or take actions that violate local, state, national, or international laws or regulations;
Violate any codes of conduct or guidelines specific to the Platform's services or features;
Take any actions that place an unreasonable or disproportionately large load on the Licensor’s infrastructure or otherwise interfere with the normal functioning of the Platform or limit another User's ability to enjoy the service;
Use unauthorized methods, such as bots, scripts, automated devices, or other similar means, to access, scrape, or extract content or data from the Platform;
Aggregate, copy, duplicate, publish, or share the Licensor’s content or materials with third parties outside of the Platform, beyond the scope of your permitted use;
Defame, harass, abuse, stalk, threaten, or violate the privacy or legal rights of other Licensor users or third parties (including Care Recipients), or share personal information in violation of applicable privacy laws;
Provide any medical information about a Care Recipient without first obtaining explicit consent, as required by applicable laws;
Post, upload, distribute, or share any inappropriate, defamatory, obscene, indecent, or unlawful content through the Platform's communication features;
Use the Platform to send unsolicited advertising, promotional materials, spam, pyramid schemes, or any form of unauthorized solicitation;
Falsify, remove, or alter author attributions, legal notices, or proprietary labels in any files you upload or distribute through the Platform;
Engage in any other activities that, in the Licensor’s judgment, could expose the Platform, its users, or any third party to potential harm, liability, or legal issues.
Violating any of these Prohibited Actions may result in the suspension or termination of your access to the Platform.
9. User Materials
Account Confidentiality: To use the features of the Platform, you are required to create an account and provide information about yourself to the Licensor. You are responsible for keeping your account details confidential and for any activity that occurs under your account. Should there be any unauthorized access to your account, you agree to notify the Licensor immediately.
Consent to Use of Data: Licensor collects, uses and shares your personal data as described in our Privacy Policy, which you should review. By using the Platform, you consent to such processing and you warrant that all data provided by you is accurate.
10. Privacy and Confidentiality Breach Notice
You agree to immediately notify Licensor if you carry out, or is aware of any other user or third party carrying out, the Prohibited Actions, immediately upon any breach of privacy or confidentiality, or inappropriate release of data or information that poses any risk to Users, obtained or derived from using Licensor. Such notice shall state the date and nature of the event, and the reasonable steps taken to prevent the breach. We reserve the right to suspend or terminate your account at any time, with or without cause.
11. Disputes and Governing Law
These Terms are governed by the laws of the State of Texas, and any disputes will be resolved in the courts located in Travis County of Texas, USA. Any legal claims must be filed within six months of the incident giving rise to the claim.
12. Limitation of Liability
The Licensor is not liable for personal injury or any indirect, incidental, special, or consequential damages, including lost profits, data loss, or business disruption, arising from your use or inability to use the Platform, regardless of the legal theory, even if advised of the possibility. Some regions may not allow these limitations.
The Licensor’s total liability for any damages will not exceed twenty dollars ($20.00), except where required by law for personal injury. These limitations are essential to this agreement, and by using the Platform, you agree to them.
13. Third-Party Services and Links
The Platform may include links to third-party websites or services for user convenience. The Licensor does not control or endorse such content and is not responsible for their availability, policies, or practices. Your interactions with third parties are solely between you and the third party.
14. Termination
Licensor reserves the right to terminate or suspend any User account without notice for violations of these Terms or inactivity. Upon termination, your license to use the Platform ceases, and stored data may be deleted unless required by law.
